OUTSOURCE  "IN-HOUSE COUNSEL"  SERVICES

An important service function offered by Integrity is its outsource “in-house counsel” service.  Many of Integrity’s clients do not have sufficient work to maintain a full time general counsel or attorney on staff despite the fact that they are significant industry participants and multi-billion dollar companies.  Nonetheless, they need commercially minded, responsive international legal assistance to help them conduct and operate their businesses, particularly in connection with negotiating, drafting and reviewing contracts and security documents which are critical to their day to day business and overall success.  While Integrity personnel are not Bermuda qualified lawyers, they are attorneys qualified in international jurisdictions who serve as advisors to our client companies with respect to their international business relationships, contracts, and related matters, as well as industry custom and practice.  See the link to:  Outsourcing - an  Efficient, Prudent and Sensible Alternative

SERVICES FOR INSURERS AND REINSURERS

¨     Providing claims audit services in the specialized area of high frequency/low severity claims, utilizing sophisticated proprietary software and services that filter your insurance carrier's or TPA’s electronic claims data and runs it against a uniquely constructed module reflecting your contract or policy terms, conditions and limits.

 

 

Representational Services

 

INTEGRITY and its officers offer representational services to companies who may want, or may be required to have, a local representative in Bermuda.  This offers our clients a personal presence in Bermuda that they or others may come to discuss business needs and transactions on a positive commercial basis.  This is far superior to a “brass plate company” whose managers effectively do not have, or can not take, the time to speak to third parties intelligently and effectively about your business.

INTEGRITY and its officers also provide Independent Director Services to companies that wish to have effective representation of interests for their local Bermuda company.  Depending how you set-up your company, you may be required to have two directors resident in Bermuda, or one such director and a Secretary located in Bermuda.  Our services ensure that the director is more than a figurehead, and that he or she understands your business and its requirements and can act effectively on behalf of your company as required.  It is important to consider the potential importance of having an independent director in today’s climate where corporate governance is being scrutinized intently.

 

 

Service Fee Philosophy

 

Services can be provided on a short term, project or long term basis.  Integrity prefers to take a view to providing its services on a value delivered/value derived basis and not strictly by hourly billings.  In appropriate circumstances, Integrity will seek to enter into compensation arrangements that enable us to participate in business development, growth, and success where the assistance results in significant cost savings and/or value creation and enhanced profitability; arrangements of this type align Integrity’s interests with those of our clients and essentially allow us to partner with you for our respective mutual interests.
